2. Who We Are

Acres Dynamics Solutions operates as a sole trader in Australia (ABN: 67 701 880 575) and offers change management consulting, training, frameworks, workshops and related services under the brand "Acres Dynamics." These Terms apply to any use of our content, resources, programs, bookings, downloads or communications via the Site.

• All content on the Site (text, graphics, logos, framework diagrams, downloadable materials, videos, images) is owned by or licensed to Acres Dynamics and is protected by copyright, trademark and other intellectual property laws.
• You may view, download and print materials (where provided) for your personal, non-commercial use only, provided you retain all copyright and proprietary notices.
• You must not reproduce, transmit, distribute, modify, sell, license, or otherwise use Site content for commercial purposes without our prior written consent.
• If you submit content (e.g. feedback, ideas, comments) via contact forms or other means, you grant us a non-exclusive, worldwide, royalty-free licence to use, adapt, publish that content.

• You agree not to use the Site in any unlawful way or for any purpose that infringes on third parties' rights.
• You must not (or attempt to) hack, gain unauthorised access to, circumvent security measures or disrupt the Site or its services.
• You agree not to upload or transmit any content that is defamatory, obscene, harassing, hateful or otherwise objectionable.
• You warrant that any information you provide (e.g. via forms) is accurate and up to date.

• If you engage in a paid service (training, consulting, course enrolment), separate service agreements or terms will apply; these Terms of Use do not substitute those.
• Unless otherwise stated, all prices are in Australian dollars (AUD).
• You agree to pay for services in accordance with the payment terms and refund policies described in the relevant agreement or invoice.

• The Site (and any associated programs or materials) is provided "as is." We do not guarantee it will be error-free or uninterrupted.
• To the fullest extent permitted by law, Acres Dynamics disclaims all warranties, whether express or implied, including but not limited to merchantability, fitness for a particular purpose and non-infringement.
• In no event shall Acres Dynamics (or its owners, employees, agents) be liable for indirect, incidental, consequential or punitive damages arising out of or in connection with use of the Site or reliance on any content, even if advised of the possibility of such damages.
• Our total liability (in contract, tort or otherwise) shall not exceed the amount you paid (if any) for services purchased through the Site in the preceding 12 months.

7. Indemnification

You agree to indemnify, defend and hold harmless Acres Dynamics, its personnel and affiliates from any claims, damages, losses, liabilities, costs or expenses (including legal fees) arising from or connected to your breach of these Terms, your misuse of the Site or your violation of any rights of a third party.

• The Site may contain links to third-party websites or resources. We are not responsible for their content, accuracy or practices.
• Inclusion of a third-party link does not imply endorsement by Acres Dynamics.
• Use of any external link is at your own risk.

• We may revise or modify these Terms of Use at any time by updating this page. The new terms will become effective upon posting.
• Continued use of the Site after changes constitutes acceptance of those changes.
• We reserve the right to modify or discontinue any aspect of the Site or services at any time, without liability.

We may suspend or terminate your access (or any portion thereof) to the Site or services at any time, for any reason, including if you breach these Terms. You remain liable for any accrued obligations or liabilities.

• These Terms are governed by the laws of Queensland and the Commonwealth of Australia.
• Any dispute arising under or in connection with these Terms shall be submitted to the non-exclusive jurisdiction of courts in Queensland.
• Before initiating formal proceedings, both parties agree to attempt negotiation or mediation in good faith.

If any provision of these Terms is held invalid or unenforceable, that provision will be struck out or modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. A failure or delay in enforcing any right or clause shall not constitute a waiver.
